Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dicker mobile application, the Dicker Merchant Web Portal, and all related services (collectively, the "Services") provided by Dicker ("we", "our", or "us"). By creating an account or using any part of the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use our Services. By creating an account you represent that you are 18 or older, that you have the legal capacity to enter into a binding agreement, and that you will use the Services in compliance with these Terms and all applicable laws.

2. Accounts

2.1 Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@dicker.app if you suspect unauthorised access.

2.2 One account per person

Each individual or business may hold one account. Creating multiple accounts to circumvent limits, bans, or algorithm rules is prohibited and may result in permanent termination of all associated accounts.

2.3 Account deletion

You may delete your account at any time from the app (Settings → Delete Account). Deletion is permanent and irreversible. Any unused deals will be cancelled upon deletion.

3. The Dicker Service

Dicker is a live-negotiation marketplace that connects consumers ("Customers") with local businesses ("Merchants"). Customers place discount bids; Merchants' automated scenarios accept, counter, or reject those bids. Dicker provides the technology platform — we are not a party to any deal or transaction between a Customer and a Merchant.

We do not guarantee that any bid will result in a deal, that any deal will be honoured by the Merchant, or that the Services will be available at all times.

4. Customer Terms

4.1 Bidding

  • Bids must be placed in good faith. You must intend to visit the merchant and use the deal if accepted.
  • Minimum bid is 10% discount, in increments of 5%.
  • You may bid on up to 4 merchants per session.
  • Once a deal is accepted, a binding commitment is created between you and the Merchant.
  • Deals expire within 24 hours of acceptance and cannot be extended.

4.2 Redemption

  • To redeem a deal, visit the Merchant in person and present your unique redemption code when requested.
  • The redemption code may only be used once.
  • Deals cannot be transferred, sold, or applied to purchases made before the deal was accepted.
  • The Merchant has the right to refuse redemption if the code is expired, already used, or invalid.

4.3 Refunds and disputes

Dicker is not responsible for the goods or services provided by Merchants. If a Merchant fails to honour a valid deal, contact us at support@dicker.app and we will investigate. We reserve the right to issue account credits at our sole discretion.

5. Merchant Terms

5.1 Registration and verification

  • Merchants must provide accurate business information and valid verification documents.
  • We reserve the right to approve or reject any merchant application at our discretion.
  • Approval typically takes 1–2 business days. We may revoke approval at any time if information is found to be inaccurate or if the Merchant violates these Terms.

5.2 Scenarios and deals

  • Merchants are responsible for configuring accurate discount scenarios (min/max %, schedule, business hours).
  • When a Customer accepts a deal generated by your scenario, you are contractually obligated to honour it at the agreed discount.
  • Failing to honour valid deals is grounds for suspension or permanent removal from the platform.
  • Merchants must not manipulate scenarios to systematically reject all bids without intent to honour any deals.

5.3 Fees

Listing on Dicker is free. We charge a commission on successfully redeemed deals. Current commission rates are communicated at sign-up and may be updated with 30 days' notice. Continued use of the Services after a fee change constitutes acceptance of the new rates.

5.4 Merchant conduct

Merchants must not:

  • Provide false or misleading business information
  • Discriminate against Customers in deal fulfilment on the basis of race, gender, religion, disability, or other protected characteristics
  • Attempt to contact Customers outside the platform using information obtained through Dicker
  • Use the platform to advertise services that are illegal in the jurisdiction where the Merchant operates

6. Prohibited Conduct

All users — Customers and Merchants — must not:

  • Violate any applicable law or regulation
  • Impersonate any person or entity, or misrepresent your affiliation
  • Attempt to reverse-engineer, decompile, or tamper with the Services or algorithm
  • Use automated tools, bots, or scripts to place bids, create accounts, or interact with the platform
  • Introduce malware, viruses, or harmful code
  • Engage in any activity that disrupts or damages the Services or servers
  • Harvest or scrape data from the Services without our written consent
  • Use the Services for any unlawful, fraudulent, or deceptive purpose

7. Intellectual Property

The Dicker name, logo, app design, algorithm, and all content produced by us are owned by Dicker and protected by copyright, trademark, and other intellectual property laws. You may not use our branding or content without our prior written permission.

By submitting content (profile photos, business descriptions, media) to the Services, you grant us a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely for the purpose of operating and promoting the Services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

DICKER IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF ANY GOODS OR SERVICES PROVIDED BY MERCHANTS, OR FOR THE TRUTH OR ACCURACY OF MERCHANT LISTINGS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DICKER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY DEAL OR TRANSACTION BETWEEN YOU AND A MERCHANT; OR (C) UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US IN THE THREE MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Dicker and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion. You may stop using the Services and delete your account at any time.

Upon termination, your right to use the Services ends immediately. Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 10 (Indemnification) survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Duval County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. App Store — Additional Terms

If you download the Dicker app from the Apple App Store, the following additional terms apply:

  • These Terms are between you and Dicker only, not Apple Inc. Apple has no obligation to provide maintenance or support for the app.
  • Apple is not responsible for any product liability claims, consumer-protection claims, intellectual property infringement claims, or third-party claims relating to the app.
  • In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price for the app. To the maximum extent permitted by law, Apple has no other warranty obligation.
  • You must comply with any applicable third-party terms when using the app (e.g. your wireless data provider's terms of service).
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above and, for material changes, notify you via in-app notice or email. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance.
